WYC, LLC provides computer systems design, systems integration, technical consulting, and related technology services. The specific scope of services for each engagement will be defined in a separate service agreement or statement of work.
You agree to provide accurate, current, and complete information when using our services or contacting us. You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
All content, materials, and deliverables provided by WYC, LLC, including but not limited to software, designs, documentation, and methodologies, are the intellectual property of WYC, LLC unless otherwise agreed in writing. You may not reproduce, distribute, or create derivative works without our express written consent.
All services provided by WYC, LLC are subject to a separate service agreement or statement of work that will define project scope, deliverables, timelines, fees, and payment terms. In the event of a conflict between these Terms of Service and a service agreement, the service agreement shall prevail.
Fees for services will be as set forth in the applicable service agreement. Unless otherwise specified, invoices are due within thirty (30) days of the invoice date. Late payments may be subject to interest charges at the maximum rate permitted by applicable law.
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the business relationship. This obligation shall survive the termination of any service agreement for a period of three (3) years.
To the maximum extent permitted by applicable law, WYC, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with our services or these terms.
Our services are provided "as is" and "as available" without any warranties, express or implied. WYC, LLC disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
You agree to indemnify, defend, and hold harmless WYC, LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of our services or violation of these terms.
We reserve the right to terminate or suspend access to our services immediately, without prior notice or liability, for any reason, including breach of these Terms of Service. Upon termination, your right to use our services will cease immediately.
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved in the courts located in Ohio.
Any dispute arising from or relating to these Terms of Service or our services shall first be attempted to be resolved through good-faith negotiations. If the dispute cannot be resolved within thirty (30) days, it shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association.
Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government actions, or public health emergencies.
These Terms of Service, together with any applicable service agreements, constitute the entire agreement between you and WYC, LLC regarding the use of our services and supersede any prior agreements or understandings.
